Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the Code Cannon website or services. Your access to and use of the services is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use our services.

1. Agreement to Terms

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access or use our services.

2. Services

Code Cannon provides AI-powered software development services, including but not limited to web application development, mobile application development, SaaS product development, legacy system modernization, and AI integration services.

We reserve the right to withdraw or amend our services, and any service or material we provide, in our sole discretion without notice. We will not be liable if for any reason all or any part of the services are unavailable at any time or for any period.

3. Intellectual Property

The service and its original content, features, and functionality are and will remain the exclusive property of Code Cannon and its licensors. The service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Code Cannon.

Unless otherwise specified in a separate agreement, upon full payment of our invoices, clients will own the deliverables we create for them. We will retain ownership of any methods, processes, tools, ideas, concepts, and know-how that we owned previously or that we develop during the course of providing our services.

4. User Accounts

When you create an account with us, you guarantee that the information you provide is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the service.

You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password.

5. Payment and Billing

We reserve the right to refuse service to anyone for any reason at any time. Our services are billed in accordance with our current pricing structure or as specified in individual client contracts. All payments are due in accordance with the payment terms specified in our invoices or contracts.

If you dispute any charges, you must let us know within 30 days after the date that we invoice you. All amounts paid are non-refundable unless otherwise specified in a separate agreement.

6. Project Timelines and Deliverables

While we make every effort to complete projects within estimated timeframes, project timelines are estimates and may be subject to change based on project requirements, client feedback, and other factors. We are not liable for delays that are outside our reasonable control or that result from client actions or inactions.

The scope of work, deliverables, and acceptance criteria will be defined in individual project proposals or statements of work. Changes to project scope may affect timelines and costs and may require a change order.

7. Client Responsibilities

Clients are responsible for providing timely and accurate information, reviewing and providing feedback on deliverables, and otherwise cooperating with us to enable the successful completion of projects. Delays in client responses or feedback may result in corresponding delays in project timelines.

8. Links to Other Websites

Our services may contain links to third-party websites or services that are not owned or controlled by Code Cannon. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that Code Cannon shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

9. Termination

We may terminate or suspend your account and bar access to the service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the service or contact us to deactivate your account. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Limitation of Liability

In no event shall Code Cannon, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the service; (ii) any conduct or content of any third party on the service; (iii) any content obtained from the service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

11. Disclaimer

Your use of the service is at your sole risk. The service is provided on an "AS IS" and "AS AVAILABLE" basis. The service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States and the State of California, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our service after any revisions become effective, you agree to be bound by the revised terms.
